American Infrastructure Group 2025 Investor Letter

From the Desk of Timothy Smith, Chairman of American Infrastructure Group, Inc. (AIGI)

Dear Valued Partners,

As we enter 2025, I am proud to share an exciting update on our progress and the transformative initiatives across American Infrastructure Group, Inc. (AIGI). This year, we are poised to expand our reach, deepen our capabilities, and strengthen our leadership in key areas, including infrastructure, technology, and government contracting.

Our subsidiaries are thriving, and our strategic initiatives are set to drive unparalleled growth. Here’s a closer look at what lies ahead for AIGI and its divisions:

1UP Drones Aerial Services: 1UP Podcast Launch

1UP Drones is evolving into a comprehensive, one-stop shop for drone services and solutions. Beyond its e-commerce platform and consulting operations, 1UP is forming new technology and hardware alliances, positioning the company to provide seamless integration for its customers’ drone needs. These partnerships will enable 1UP to expand its offerings, from hardware sales and rentals to cutting-edge technology solutions.

In 2025, 1UP will launch a full-service application for pilots and customers. This platform will support:

  • Job planning
  • Hardware sales and rentals

Calaway Solutions: Transformation Renewable Energy Inspections

Calaway continues to generate revenue by offering cutting-edge drone inspection services for wind turbine owners. Our drones perform exterior inspections as well as interior assessments of turbine towers and blades. These services are highly sought after, particularly as turbine warranty periods near expiration, enabling manufacturers to take responsibility for repairs.

Calaway provides AIGI with a first-mover advantage in the wind turbine inspection sector, positioning us as a leader in this growing market. This year, we plan to invest in a business development, sales, and marketing team that will operate efficiently across our drone operations, maximizing synergies and revenue potential.

Infrasix: AI Advancements

Infrasix is at the forefront of revolutionizing asset integrity management through cutting-edge AI technology. This year, we initiated a pilot program in collaboration with Asymmetric Unmanned, leveraging utility T&D (Transmission & Distribution) line data to train our AI models for fully automated inspection and integrity management. The pilot is already delivering promising results, showcasing the potential for AI to significantly enhance the efficiency and accuracy of infrastructure inspections.

Following this success, we are preparing to expand the dataset to include windmill and solar farm assets. Partnering with Calaway Solutions, we will utilize data from drone inspections to further refine the AI models. This initiative aims to replicate the same automated integrity management outcomes achieved with utility T&D data, delivering comprehensive AI-driven solutions across multiple energy sectors.

Once these priorities are complete, Phillips 66, TxDOT (Texas Department of Transportation), and Miami-Dade County are lined up to begin integrating their datasets into our AI training programs. These partnerships will enable us to diversify the application of Infrasix technology, driving its adoption across sectors ranging from energy and transportation to municipal infrastructure.

As we scale these capabilities, Infrasix will empower AIGI to address the critical need for resilient energy and infrastructure systems. By ensuring the reliability, safety, and efficiency of America’s power generation and distribution networks, as well as other critical assets, Infrasix is poised to become an indispensable tool in meeting the nation’s infrastructure challenges head-on.

Patriot Drone Operators: Patriot Program

Our Patriot Program continues to gain traction, with significant opportunities emerging from our potential collaboration with ExxonMobil. We are in the process of onboarding as a strategic partner, aligning with ExxonMobil’s DEI spending plans to support their subcontractor goals while adding new contracts for Patriot and AIGI. This potential partnership not only enhances our presence in the energy sector but also underscores our commitment to diversity, equity, and inclusion in all aspects of our operations.

AIGI Field Services: Government Contracting

Our Field Services entity is a cornerstone of AIGI’s government contracting strategy. We have engaged a lobbyist to strengthen our connections in Washington and with the new administration, facilitating direct access to key decision-makers. This proactive approach positions us to secure substantial government contracts, leveraging our expertise to meet critical infrastructure needs.

Public Company Merger

We are in active negotiations for a public company merger with Maxim Group sponsorship, expected to close in the first quarter. This merger is anticipated to unlock significant value for shareholders, with Maxim Group and the public company set to invest up to $7,000,000 through a preferred private placement. Maxim Group will also support our M&A program and qualifications for an uplist to NASDAQ or a similar exchange, paving the way for accelerated growth, liquidity, and expanded opportunities.

Looking Ahead

2025 marks a transformative year for AIGI. Our commitment to American infrastructure, innovation, and sustainability remains at the forefront as we expand our capabilities and partnerships. We invite you to stay connected with our journey through the 1UP Podcast every Thursday at 12 PM CT.

We thank you for your continued support and belief in our mission. Together, we are building a future defined by innovation, resilience, and shared success.

Sincerely,

Timothy Smith
